Terms of Service

These Terms of Service govern your use of FurniSupply's website and B2B furniture supply services. Please read them carefully before placing an order or entering into any business relationship with us.
1. Acceptance of Terms
By accessing our website, submitting an inquiry, or placing an order with FurniSupply Co., Ltd. ("FurniSupply"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. These terms apply to all B2B buyers, distributors, resellers, and partners.
2. B2B Services
FurniSupply provides wholesale furniture manufacturing, OEM/private label production, and bulk supply services exclusively for business customers. We do not sell directly to consumers. All orders are subject to a minimum order quantity (MOQ) and must be placed through an authorized sales representative or our official inquiry channels.
3. Quotations & Orders
All quotations are valid for 30 days from the issue date unless otherwise stated. An order is confirmed only upon receipt of a signed purchase order and the agreed deposit payment. FurniSupply reserves the right to decline any order at its discretion. Custom or OEM orders may require additional lead time and non-refundable tooling fees.
4. Pricing & Payment
All prices are quoted in USD and are exclusive of shipping, customs duties, and taxes unless explicitly included. Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. We accept T/T (bank wire transfer) and L/C (Letter of Credit) for orders above the agreed threshold. Late payments may incur interest at 1.5% per month.
5. Production & Lead Times
Standard production lead time is 20–35 business days after order confirmation and deposit clearance. Expedited production is subject to factory capacity and may incur additional charges. FurniSupply is not responsible for delays caused by force majeure, raw material shortages, or shipping disruptions beyond our control.
6. Quality Assurance
All products undergo our multi-stage QC process. We guarantee a 99.2% QC pass rate. If goods are found to have manufacturing defects upon arrival, you must notify us in writing within 7 days of receipt with photographic evidence. We will arrange replacement, credit, or refund at our discretion. Claims made after 7 days may not be accepted.
7. Shipping & Title Transfer
Unless otherwise agreed, goods are shipped FOB (Free on Board) Tianjin port. Title and risk of loss transfer to the buyer upon loading. The buyer is responsible for arranging import customs clearance, duties, and last-mile delivery. FurniSupply can assist in coordinating freight forwarding upon request.
8. Intellectual Property
All OEM designs, molds, and artwork developed exclusively for a buyer remain the intellectual property of that buyer once development fees are fully paid. FurniSupply retains the right to use generic production know-how and tooling for other customers unless a separate exclusivity agreement is signed.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of negotiations or fulfillment, including pricing, product specifications, and customer lists. This obligation survives termination of the business relationship for a period of 3 years.
10. Limitation of Liability
FurniSupply's total liability for any claim arising from a purchase shall not exceed the invoiced value of the goods in question. We are not liable for indirect, incidental, or consequential damages including loss of profits, even if advised of the possibility of such damages.
11. Governing Law
These terms are governed by the laws of the People's Republic of China. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, disputes shall be submitted to the Tianjin Arbitration Commission for binding arbitration.
12. Changes to Terms
FurniSupply reserves the right to update these Terms of Service at any time. The updated version will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes acceptance. For active purchase orders, the terms in effect at the time of order confirmation apply.
